What Is Patrimônio de Afetação and How Does It Protect the Buyer?
Buying a property off-plan means trusting that the builder will deliver what it promised — years before the building actually exists. Patrimônio de afetação is the legal mechanism created precisely to reduce that risk, and it is worth understanding how it works before you sign any contract.
How it works in practice
When a builder opts for the patrimônio de afetação regime (governed by Law 10,931/2004), it legally separates the assets of that specific development — land, funds raised from buyers, contracts and obligations — from the rest of its corporate assets.
This creates a kind of "sealed vault" for each development. The money you pay for your studio is tied exclusively to completing that project; it cannot be used to cover debts from the same builder's other projects, nor be mixed with the partners' personal assets.
What happens if the builder runs into financial trouble?
This is the scenario where patrimônio de afetação really makes a difference. If the builder faces serious financial difficulties — including bankruptcy — in principle the assets ring-fenced for that specific development remain preserved and earmarked for finishing that project, whether through a buyers' committee (comissão de representantes) or through another builder that takes over completion.
Without this regime, the development's funds and assets could, in theory, be used to pay creditors of the builder's other debts — leaving the buyers of that specific project more exposed and without the same assurance of completion.

How to confirm whether a development has patrimônio de afetação
- Ask the builder or the broker directly
- Check the development filing (memorial de incorporação), a public document recorded at the Real Estate Registry Office (Cartório de Registro de Imóveis)
- Review the purchase and sale agreement, which normally states the regime adopted

Frequently asked questions
Does every new development have patrimônio de afetação?
It is not mandatory by law; it is an option the builder may choose to adopt. Most reputable new developments opt for the regime, and it is always worth confirming this before you buy.
How do I confirm whether a development has patrimônio de afetação?
Ask the builder directly or check the development filing (memorial de incorporação) recorded at the Real Estate Registry Office, a public document that must state whether the regime was adopted.
